    By submitting a wholesale application or placing a wholesale order with Xyrena, you acknowledge and agree to the following terms:

    1. Authorized Sales Channels

    Retailers may not list, advertise, or sell Xyrena products on third-party marketplaces without prior written authorization from Xyrena.

    Prohibited platforms include, but are not limited to:
    • Amazon
    • eBay
    • Walmart Marketplace
    • TikTok Shop
    • Shop Channel (Shop App via Shopify)
    • Any similar marketplace environment

    Retailers using Shopify must ensure the Shop sales channel remains disabled for all Xyrena products.

    Unauthorized marketplace sales may result in immediate suspension or termination of wholesale privileges.

    2. Sampling & Decanting Restrictions

    Due to licensing restrictions, authorized retailers may not sell samples or decants of Cinematic Scent Archive fragrances or other collaboration releases.

    Complimentary samples may be distributed in-store only and may not be offered or distributed online.

    Bulk fragrance oil (“bulk juice”) is not offered for sampling or decanting purposes.

    Tester bottles are not for resale.

    3. Tester Policy

    Retailers receive one (1) complimentary tester per SKU, per retail location, with the initial order of that SKU.

    Additional testers may be available at 50% of the wholesale price, subject to order volume.

    Xyrena reserves the right to provide additional tester support for qualifying accounts or special launch initiatives at its sole discretion.

    4. MAP & Pricing Policy

    Xyrena products may not be advertised below the Manufacturer’s Suggested Retail Price (MSRP) without prior written approval.

    This applies to all forms of advertising, including:
    • Websites
    • Social media
    • Email marketing
    • Paid ads
    • Digital promotions
    • In-store materials

    Temporary promotional pricing requires prior written approval.

    Violation of this policy may result in suspension or termination of wholesale privileges.

    5. Pre-Orders & Confidentiality

    Wholesale accounts may receive access to select pre-order products prior to public release.

    Any product details, images, or information provided in advance are confidential and may not be shared, posted, or disclosed prior to the official Street Date, unless Xyrena has already publicly announced the product through its official channels.

    Orders containing pre-order items will not ship until all items within the order are available. Retailers are encouraged to place pre-orders separately from in-stock merchandise.

    Submission of a pre-order constitutes a commitment to purchase and reserves inventory allocation.

    6. Payment Terms

    Xyrena does not currently offer Net Terms. All wholesale orders must be prepaid in full prior to fulfillment.

    Wholesale customers must select ACH / bank transfer at checkout.

    Alternative payment methods may incur processing fees.

    Orders will not be fulfilled until payment and any applicable fees have been received.

    7. Shipping Inspection & Claims

    Retailers must inspect all shipments upon receipt.

    Any damaged or defective goods must be reported to Xyrena in writing within ten (10) business days of confirmed delivery.

    Upon verification:
    • Damaged items will be replaced at no additional cost; or
    • If replacement inventory is unavailable, a refund will be issued for the affected items.

    Claims submitted after ten (10) business days may not be eligible for replacement or refund.

    8. Final Sale Policy

    All wholesale sales are final.

    Xyrena does not accept returns, return-to-vendor (RTV) requests, or exchanges from retailers.

    Due to the licensed, limited-edition, and collectible nature of Xyrena products — including serialized Chase Bottle and Chase Stubz variants — opened or tampered products may not be suitable for resale.

    Products with broken tamper-evident seals cannot be returned under any circumstances.

    Retailers are solely responsible for establishing and administering their own consumer return policies and are strongly encouraged to implement policies that prevent abuse, including the purchase and return of multiple units in attempts to obtain rare Chase variants.

    9. Licensing & Brand Integrity

    Xyrena products are officially licensed and may not be altered, relabeled, repackaged, or modified in any way.

    Certificates of Authenticity may not be separated from products or sold independently.

    Retailers may not export Xyrena products outside their approved sales territory without written authorization.

    10. Right to Refuse or Revoke

    Xyrena reserves the right to approve or deny wholesale applications and may suspend, revoke, or terminate wholesale privileges at any time, with or without cause, at its sole discretion.
